1. Agreement to Terms

By accessing or using the billing platform, services, or website operated by TSS3, Inc. (“Company”, “we”, “us”, or “our”), you (“User”, “you”, or “Client”) agree to be bound by these Terms of Service.

If you do not agree, you may not use our services.

2. Services Provided

TSS3, Inc. provides services including, but not limited to:

• Hosting services (game servers, web hosting, streaming platforms)
• Billing and account management systems
• Digital products and subscriptions
• Marketing services (website development, design, branding, consulting)
• Payment processing integrations (PayPal, Stripe, etc.)

We reserve the right to modify or discontinue services at any time.

3. Account Registration

You agree to:

• Provide accurate and current information
• Maintain the confidentiality of your account
• Be responsible for all activity under your account

4. Billing & Payments

4.1 Payment Terms

• Services are billed in advance unless otherwise stated
• Payment is required before service activation
• Accepted methods include Stripe, PayPal, and other approved processors

4.2 Recurring Billing

• Subscriptions automatically renew unless canceled prior to billing date

4.3 Non-Payment

• Services may be suspended or terminated for non-payment
• Data may be deleted after a reasonable period

5. Refund Policy

• All payments are non-refundable, unless explicitly stated
• Refunds are issued at our sole discretion
• Completed marketing/development work is non-refundable

6. Marketing & Website Development Services

6.1 Scope of Work

• All marketing, design, and development services are performed based on an agreed scope (proposal, invoice, or written agreement)
• Any work outside the agreed scope is considered additional billable work

6.2 Client Responsibilities

You agree to:

• Provide required content, assets, and feedback in a timely manner
• Ensure you have rights to all provided materials (images, logos, text)
• Respond to requests within a reasonable timeframe

Delays caused by the client may result in timeline extensions or additional fees.

6.3 Revisions & Changes

• Reasonable revisions may be included if stated in the agreement
• Excessive revisions or scope changes may incur additional charges
• Major redesigns are considered new projects

6.4 Project Timelines

• Timelines are estimates and not guaranteed
• Delays may occur due to client response time or third-party dependencies

6.5 Ownership & Intellectual Property

• Full ownership transfers to the client ONLY after full payment is received
• Until paid in full, TSS3, Inc. retains all rights to the work
• We reserve the right to showcase completed work in portfolios or marketing materials

6.6 Third-Party Services

Projects may involve third-party tools or services (e.g., domains, hosting, plugins, APIs):

• These may require separate fees
• TSS3, Inc. is not responsible for third-party outages, pricing changes, or policy changes

6.7 Ongoing Maintenance

• Maintenance, updates, or support are not included unless explicitly stated
• Ongoing services may be offered as a subscription or separate agreement

6.8 Abandoned Projects

• If the client becomes unresponsive for 30 days, the project may be considered abandoned
• No refunds will be issued for abandoned projects
• Additional fees may apply to resume work

6.9 Liability for Content

• The client is solely responsible for the legality of all provided content
• TSS3, Inc. is not liable for copyright or trademark violations in client-provided materials

7. Acceptable Use Policy

You may not use our services for:

• Illegal activities
• Distribution of malware
• Network abuse (DDoS, scanning, exploitation)
• Unauthorized access attempts

Violation may result in immediate termination.

8. Service Availability

• Services are provided “as-is” without uptime guarantees
• We are not liable for downtime, outages, or data loss

9. Data & Backups

• Clients are responsible for maintaining backups
• We are not responsible for data loss under any circumstance

10. Termination

We may suspend or terminate services if:

• Terms are violated
• Payments are overdue
• Required by law

You may cancel services at any time via the billing platform.

11. Chargebacks & Disputes

• Initiating a chargeback may result in immediate account suspension
• We reserve the right to dispute chargebacks and recover fees
• Fraudulent disputes may result in permanent service bans

12. Limitation of Liability

To the fullest extent permitted by law:

• TSS3, Inc. is not liable for indirect or consequential damages
• Liability is limited to the amount paid in the last 30 days

13. Indemnification

You agree to indemnify and hold harmless TSS3, Inc. from any claims resulting from:

• Your use of services
• Violations of law or third-party rights

14. Modifications to Terms

We may update these Terms at any time. Continued use constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of:

State of Georgia, United States
